Our work covers the formation and ongoing legal support of companies and partnerships, as well as the adjustment of existing structures. When selecting the legal form and structuring a new venture, we consider personal, tax, commercial and corporate-law factors and coordinate with tax advisers and other specialists where required. We draft articles of association, rules of procedure and shareholders’ agreements, assist with appointments to corporate bodies, Commercial Register filings and capital measures, and advise on shareholders’ meetings, representation and management matters.
Depending on the project, we also coordinate employment, lease and other start-up-related agreements and the protection of names and other intangible assets within the overall structure. Where interests within the shareholder base diverge, we analyse the parties’ rights, duties and available courses of action and develop a sustainable strategy. This applies both to preventive arrangements—such as consent requirements, transfer restrictions, call options and succession mechanisms—and to existing shareholder or management disputes.
Corporate decisions regularly engage other areas of law. In reorganisations, succession arrangements, financings and transactions, we therefore align the corporate implementation with the commercial objective and, where appropriate, coordinate with tax advisers and other specialists.
